What are the details of the merger?
Ballston Spa Bancorp, Inc., holding company of Ballston Spa National Bank (BSNB) and NBC Bancorp, Inc., holding company of National Bank of Coxsackie (NBC), jointly announced a strategic merger of equals on September 24, 2025. The banks will combine forces and create a $1.3 billion in assets community bank serving the greater Capital District and surrounding markets.

Who is BSNB?
Founded in 1838, Ballston Spa National Bank (BSNB) is the wholly owned subsidiary of Ballston Spa Bancorp, Inc. As of June 30, 2025, BSNB manages approximately $900 million in total assets and serves individuals, businesses, organizations and families through 13 full-service branches across Albany and Saratoga Counties in New York State.

Who is NBC?
Established in 1852, National Bank of Coxsackie (NBC) is the wholly owned subsidiary of NBC Bancorp, Inc. As of June 30, 2025, NBC holds about $530 million in total assets and serves its community through 8 full-service branches across Albany, Greene, and Schoharie Counties in New York State, with an additional commercial loan production and administrative office in Latham.
NBC provides a comprehensive suite of retail, residential and commercial banking services, combining the advantages of modern banking technology with the personal touch of a community institution. For over 170 years, it has remained deeply rooted in tradition, yet future focused, delivering both reliable service and leading-edge solutions that make banking both convenient and meaningful to the customers it serves.
When will the merger be completed?
The merger is anticipated to be finalized in the second quarter of 2026, subject to receiving all necessary regulatory and shareholder approvals from both banks. Once the official legal date is announced, a comprehensive timeline for the integration of banking systems will be established.

Will the name of the bank change?
There are no immediate changes to the name of either bank. Once the merger is finalized (expected early in the 2nd quarter of 2026), the name of the combined bank will be Ballston Spa National Bank (BSNB). The NBC locations will be known as Coxsackie Bank, a division of BSNB.
Will my branch close?
No. BSNB and NBC do not have any duplicate branch locations, and none of the current locations are expected to be closed as a part of the merger. Our geographically complementary footprint is one of the key benefits of the two banks joining together.
Can I visit any BSNB or NBC branch now and perform transactions?
Not yet - we are just entering into the approval process. You can continue banking as usual at your current bank location. We will provide the merger timeline after receiving all approvals, so you’ll know when you can access all branch locations.
ACCOUNTS AND SERVICES:
Will there be a disruption in my services or account access?
There will be no interruption in access to your accounts, loans or services at this time. If any changes are necessary after the merger is finalized in the second quarter of 2026, we will communicate these to you well in advance.
Will I be receiving additional information about my accounts, loans and services?
Yes, we regularly notify our customers of any account, loan or service changes and will continue to do so.
Will my account numbers or routing numbers change?
Currently, there are no changes to your account numbers or routing number for the bank. As we review integration plans, after our legal merger date, any necessary changes will be provided to you with clear instructions to guide you through the process.
Can I use my current checks and debit cards?
Yes, you can continue to use your current checks and debit cards.
Will my current accounts, loans or services change?
Currently, there are no changes to your accounts, loans or services. We look forward to expanding our suite of products and services for all customers once we have reached our legal merger date.
ONLINE AND MOBILE BANKING:
Can I use online and mobile banking?
Yes, you can continue to use your online and mobile banking services with no changes to your login credentials.
LOAN AND PAYMENTS:
Are there any changes to my loan numbers or how to make payments?
There has been no change to your loan account numbers at this time, and you should continue to make your payments as scheduled.
BUSINESS AND TREASURY MANAGEMENT CLIENTS:
Have my business or treasury management services changed?
There have been no changes to any business or treasury management services. You will continue to work with your existing commercial banking team or treasury management officer for any services or questions. Your current banking officer will remain your primary point of contact.
WEALTH MANAGEMENT SOLUTIONS CLIENTS:
Are there any changes to my Wealth Management Solutions Investments or Trust Services?
There have been no changes to any wealth management or trust services. You will continue to work with your existing wealth management solutions team advisor for any services or questions. Your current wealth officer will remain your primary point of contact.
